LUNIERE ATELIER LEGAL NOTICE(S)

These Terms and Conditions (the “Terms”) govern your access to and use of the websites, mobile applications, and other digital services operated or made available by LUNIERE ATELIER (“LUNIERE ATELIER,” the “Atelier,” “we,” “us,” or “our”) (collectively, the “Site”). By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

References to “you” and “your” refer to any person who accesses or uses the Site.

These Terms govern your use of the Site and establish the rights and obligations applicable to your access to and use of the Site and its content.

I. USE OF THE SITE

The Site is provided for informational, personal, and non-commercial purposes unless otherwise expressly stated by LUNIERE ATELIER.

You may access and use the Site only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.

LUNIERE ATELIER reserves the right to modify, suspend, restrict, or discontinue any portion of the Site at any time, with or without notice, to the extent permitted by applicable law.

II. INTELLECTUAL PROPERTY

All content made available through the Site, including without limitation music, sound recordings, musical compositions, photographs, videos, artwork, graphics, written materials, logos, trademarks, service marks, designs, software, user interfaces, and other materials (collectively, “Atelier Materials”), is owned by LUNIERE ATELIER, its Artists, collaborators, licensors, or other applicable rights holders, or is used pursuant to a valid license or other authorization.

All rights in and to the Atelier Materials that are not expressly granted to you under these Terms are reserved.

Subject to these Terms, LUNIERE ATELIER grants you a limited, non-exclusive, non-transferable, revocable license to access and view publicly available Atelier Materials solely for personal, non-commercial purposes.

You may not reproduce, modify, distribute, publish, transmit, publicly display, publicly perform, sell, license, create derivative works from, or otherwise exploit Atelier Materials without prior written authorization from the applicable rights holder, except to the extent such use is expressly permitted by applicable law.

Nothing in these Terms transfers any ownership interest in Atelier Materials to you.

III. TRADEMARKS AND BRAND MATERIALS

The names LUNIERE ATELIER and its Artists, together with associated names, logos, marks, designs, and other brand identifiers, may constitute trademarks, service marks, trade names, or other protected intellectual property of LUNIERE ATELIER or their respective owners.

You may not use any trademark, logo, trade name, or other brand identifier belonging to LUNIERE ATELIER or its Artists without prior written authorization, except as permitted by applicable law.

Nothing contained on the Site shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark or other intellectual property without the prior written consent of its owner.

IV. PERMITTED USE

You may:

• Access and view publicly available Site content for personal, informational, and non-commercial purposes;

• Share links to publicly available pages of the Site, provided that such sharing does not imply endorsement, sponsorship, affiliation, or authorization by LUNIERE ATELIER;

• Engage in commentary, criticism, education, or other uses permitted by applicable law.

Any use of Atelier Materials beyond the rights expressly granted under these Terms is prohibited unless authorized by the applicable rights holder or otherwise permitted by law.

V. PROHIBITED CONDUCT

You may not:

Use the Site for any unlawful, fraudulent, or unauthorized purpose;
Attempt to gain unauthorized access to the Site, its systems, networks, accounts, or related infrastructure;
Circumvent or interfere with security measures, access controls, or technical protections;
Scrape, crawl, harvest, mine, or systematically collect information or content from the Site, except where expressly permitted by the Site or applicable law;
Use automated means to access the Site in a manner that imposes an unreasonable burden on the Site or its infrastructure;
Introduce viruses, malware, malicious code, or other harmful technology;
Impersonate LUNIERE ATELIER, its Artists, personnel, representatives, collaborators, or any other person or entity;
Use Atelier Materials to create, train, develop, or improve any artificial intelligence or machine-learning system, dataset, model, or related technology without prior written authorization, except where such restriction is prohibited by applicable law;
Reproduce, distribute, modify, or commercially exploit Atelier Materials without authorization;
Interfere with the operation, security, or availability of the Site;
Use the Site in a manner that violates the rights of another person or entity.

VI. ARTIST PROTECTION AND CONDUCT

LUNIERE ATELIER is committed to maintaining appropriate protections for its Artists, personnel, and collaborators.

You may not use the Site or any information obtained through the Site to:

• Harass, threaten, intimidate, stalk, or abuse an Artist, employee, representative, or collaborator;

• Obtain, disclose, distribute, or attempt to obtain non-public personal information concerning an Artist, employee, representative, or collaborator without authorization;

• Interfere with an Artist’s professional, personal, or creative activities;

• Solicit or manipulate an Artist, employee, representative, or collaborator for unlawful purposes;

• Engage in conduct that violates applicable privacy, safety, civil, criminal, or other laws.

LUNIERE ATELIER reserves the right to restrict or terminate access to the Site and to pursue available remedies in response to conduct that violates these Terms or applicable law.

VII. THIRD-PARTY CONTENT AND SERVICES

The Site may contain links to or integrations with third-party websites, applications, services, or other resources.

Third-party links and integrations are provided for convenience and do not constitute an endorsement, sponsorship, or recommendation by LUNIERE ATELIER.

LUNIERE ATELIER does not control and is not responsible for the content, availability, security, privacy practices, products, services, or policies of third parties.

Your use of third-party websites, applications, or services is subject to the applicable third party’s terms and policies.

VIII. ACCURACY AND SITE AVAILABILITY

LUNIERE ATELIER endeavors to provide accurate and current information through the Site but does not warrant that Site content will always be complete, accurate, current, or error-free.

LUNIERE ATELIER does not guarantee that the Site will be available at all times or that access will be uninterrupted, secure, or free from errors, defects, viruses, or other harmful components.

LUNIERE ATELIER may correct, modify, update, suspend, or remove Site content at any time.

You are responsible for evaluating the accuracy and suitability of information obtained through the Site before relying upon it.

IX. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL ATELIER MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LUNIERE ATELIER DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES RELATING TO THE SITE AND ATELIER MATERIALS, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.

LUNIERE ATELIER DOES NOT WARRANT THAT THE SITE OR ATELIER MATERIALS WILL MEET YOUR REQUIREMENTS OR THAT THE SITE WILL OPERATE WITHOUT INTERRUPTION OR ERROR.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTY, RIGHT, OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

X. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LUNIERE ATELIER AND ITS AFFILIATES, ARTISTS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, LICENSORS, AND COLLABORATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SITE OR ATELIER MATERIALS.

THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR REPUTATION.

LUNIERE ATELIER SHALL NOT BE LIABLE FOR CONTENT, CONDUCT, PRODUCTS, SERVICES, OR ACTIONS OF THIRD PARTIES.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

XI. INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless LUNIERE ATELIER and its affiliates, Artists, directors, officers, employees, agents, representatives, licensors, and collaborators from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• Your violation of these Terms;

• Your violation of applicable law or the rights of another person or entity;

• Your unauthorized use of Atelier Materials;

• Your misuse of the Site;

• Your fraudulent, negligent, unlawful, defamatory, threatening, or abusive conduct in connection with the Site.

LUNIERE ATELIER reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to reasonably cooperate with such defense.

XII. COPYRIGHT ENFORCEMENT

LUNIERE ATELIER respects the intellectual-property rights of its Artists, collaborators, licensors, and other rights holders and expects users of the Site to do the same.

Unauthorized reproduction, distribution, public performance, public display, adaptation, transmission, or commercial exploitation of protected Atelier Materials may constitute copyright infringement or another violation of applicable law.

LUNIERE ATELIER reserves the right to investigate suspected infringement and pursue any remedies available under applicable law.

Reports concerning suspected infringement may be directed to:

Reports should include sufficient information to allow LUNIERE ATELIER to identify and evaluate the allegedly infringing material.

If the Site permits user-generated content and LUNIERE ATELIER elects to rely upon applicable statutory safe harbors, additional copyright-notice and designated-agent procedures may apply.

XIII. PRIVACY

Your use of the Site may involve the collection and processing of personal information as described in the LUNIERE ATELIER Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference to the extent permitted by applicable law.

The Privacy Policy governs the collection, use, disclosure, retention, and protection of personal information in connection with the Site.

XIV. TERMINATION AND RESTRICTION OF ACCESS

LUNIERE ATELIER may suspend, restrict, or terminate your access to the Site if you violate these Terms, engage in unlawful or harmful conduct, interfere with the Site or its users, or where such action is reasonably necessary to protect LUNIERE ATELIER, its Artists, personnel, collaborators, rights holders, or digital infrastructure.

LUNIERE ATELIER may also discontinue or restrict access to all or part of the Site for operational, security, legal, or other legitimate reasons.

Termination or restriction of access does not affect provisions that by their nature should survive termination, including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, and dispute-related matters.

XV. GOVERNING LAW, JURISDICTION, AND INTERNATIONAL CONSIDERATIONS

These Terms shall be interpreted and enforced in accordance with applicable law, without regard to conflict-of-law principles, except where such principles are required to apply.

Any dispute arising out of or relating to these Terms or the Site shall be brought before a court of competent jurisdiction, subject to any mandatory rights or protections provided by applicable law.

LUNIERE ATELIER may pursue available legal remedies in other jurisdictions where necessary to protect its intellectual property, Artists, collaborators, or other legitimate interests.

Nothing in these Terms is intended to waive or limit rights or protections that cannot lawfully be waived or limited.

XVI. AMENDMENTS

LUNIERE ATELIER may revise these Terms from time to time to reflect changes to the Site, applicable law, intellectual-property protections, security practices, artist protection, or operational requirements.

Updated Terms will be posted to the Site together with a revised “Last Updated” date.

Unless otherwise required by applicable law, revisions will become effective upon posting.

Where applicable law requires additional notice or consent for material changes, LUNIERE ATELIER will provide such notice or obtain such consent as required.

Continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

You are responsible for periodically reviewing these Terms for updates.

XVII. ELECTRONIC COMMUNICATIONS

Where permitted by applicable law, communications between you and LUNIERE ATELIER may be conducted electronically.

By using the Site, you consent to receive electronic notices, disclosures, and other communications relating to your use of the Site, except where applicable law requires another form of communication or consent.

Electronic records and communications may satisfy legal requirements that such communications be provided in writing to the extent permitted by applicable law.

XVIII. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be enforced to the fullest extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision.

XIX. NO WAIVER

The failure of LUNIERE ATELIER to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision or any other provision.

Any waiver must be expressly provided in writing by an authorized representative of LUNIERE ATELIER.

XX. ENTIRE AGREEMENT

These Terms, together with any policies or notices expressly incorporated by reference, constitute the entire agreement between you and LUNIERE ATELIER concerning your use of the Site, except where additional terms expressly apply to particular services, features, or transactions.

If a conflict exists between these Terms and a separate agreement expressly entered into between you and LUNIERE ATELIER, the terms of that separate agreement shall control to the extent of the conflict.
